By-Laws

Article I  -  NAME

The name of this club shall be the CALLIPPE SENIOR GOLF CLUB.

Article II  -  PURPOSES

1 - To promote and foster among its members a closer bond for senior amateur golfers and conserve the best interests and true spirit of the game of golf as embodied in its ancient and honorable traditions.

2 - To enforce uniformity in the rules of the game by creating a representative authority. 

3 - To maintain a uniform system of handicapping as set forth in the regulations of the Northern California Golf Association (NCGA) in cooperation with the United States Golf Association (USGA) and issue NCGA/USGA Handicap Indexes to the members. 

4 - To afford a convenient and authoritative body to govern Club tournaments held at various courses.

  Article III  -  MEMBERSHIP 

Section 1  -  Membership shall be available to amateur golfers 55 years and older.

Section 1A - Membership shall be limited to a maximum number of amateur golfers, the maximum number to be determined by the Board of Directors.   When availability exists, additional members will be considered from the waiting list in sequential order.

Section 2 - Memberships are individual and non-transferable. Dues include membership in the NCGA.  The NCGA provides a fee toward a subscription to the quarterly magazine NCGA NEWS, monthly computerized handicap, NCGA Tournament eligibility and any other special membership services available.

Section 3 - The fiscal year for the Club will be November 1 through October 31.   Dues for the new year must be received by October 15. 

Section 4 - Each candidate for membership shall be sponsored by an  active member and/or approved by the Board of Directors.

Section 5 - In the event any member of this organization commits an act which reflects discredit or dispute thereon, or refuses or neglects to comply with the rules and regulations adopted by the Board of Directors or duly appointed officers, such member will be subject to suspension or expulsion after ten days written notice and the right to be heard.  A consensus of three or more members of the Board of Directors at any regular meeting, or special meeting called for such purpose, shall suffice for expulsion.  Failure to pay dues on time shall constitute automatic suspension.

Section 6 - The ANNUAL MEETING of the CALLIPPE SENIOR GOLF CLUB will be held in the month of May.  The Board of Directors will schedule other meetings as deemed necessary or desirable and they shall call meetings upon written petition signed by 15% of the membership.

Section 7 - Membership fees and dues will be established by the Board of Directors as deemed necessary to operate and maintain the Club. 

Section 8 - Membership renewal is subject to member participation in at least three (3) regular club tournaments annually, prior to the October 31 membership renewal deadline. Board of Directors approval is required to waive this provision.  Members not fulfilling the provision because of medical reasons are exempted.

Section 9A legal quorum at any meeting shall be 15% of the membership in person or proxy.  Each active member in good standing shall have one vote.                                                             

  Article IV -  BOARD OF DIRECTORS

Section 1 - The Board of Directors will consist of seven positions as officers as described in Article V.  They  must be members in good standing and perform all aspects of club management not specifically excepted by these By-Laws. More than one member may fill each position, other than President or Vice-President.

 

Section 2 - At least five weeks prior to the Annual Meeting, the President shall appoint a nominating committee.  Four weeks prior to the Annual Meeting, this committee will submit to the Board and post on the Club bulletin board a list of nominees for Board positions.  Names of other members in good standing may be nominated by any club member and submitted to a member of the Board at least two weeks prior to the Annual Meeting.  The names of all such nominees will be added to the list of candidates by the Board of Directors and the list posted on the Club bulletin board.

                 

Section 3 -  If there is only one nominee for an office, voting will be by a show of hands.  In the event that there is more than one nominee for an office and they are not planning to share the office, voting  will be by written ballot. The name receiving the greatest number of votes, cast by those members present at the meeting, will be declared elected.

 

Section 4 - The Board of Directors will meet at such times and places as they may elect but no less than four (4) times each year, a majority of the Board shall constitute a quorum at any meeting.

              

Section 5 - In the event of a Board vacancy, for any cause, the remaining directors, even though less than a quorum, may elect a successor by majority vote, to hold office for the unexpired term of the vacated position.

 

Section 6 - Terms for the directors will be one (1) year, commencing the first of  July or until a  successor is elected. 

  Article V  -  OFFICERS AND COMMITTEES                                                     

Section 1 - The Board of Directors (Club Officers) will be elected at the Annual Meeting.  The candidate for President will be selected from the current Board of Directors.

 

Section 2 - The officers shall consist of President and Vice-President. The positions of Secretary, Treasurer, Handicap Chairman, Communication Chairman and Tournament Chairman may be shared.  Their responsibilities are outlined in Article VI.

                                                                 

Section 3 - The Board of Directors will authorize and define the powers and duties of all committees.  Members of committees shall be appointed by the Board of Directors.  The President will be an ex-officio member of all committees except the nomination committee.

 

Section 4 - The following committees will be appointed yearly: TOURNAMENT COMMITTEE to arrange and schedule tournaments. HANDICAP COMMITTEE to establish a fair and proper system of handicaps in accordance with the procedures laid down by the NCGA.

  Article VI  -  RESPONSIBILITIES OF OFFICERS

Section 1 - The PRESIDENT shall:  Preside over all meetings of the Board of Directors and Club Membership.  Form and coordinate all committee work. Maintain communications between the Directors and the Members.  Maintain the latest issue of the By-Laws and provide a smooth transition of responsibilities to the succeeding President.

 

Section 2 -  The VICE-PRESIDENT shall:  If necessary assume the duties of the President.  Assist the President as requested.

 

Section 3 - The TREASURER shall:  Receive, bank and disburse all Club funds.  Maintain Club financial records.  Conduct financial correspondence.  Prepare the annual Budget estimate.

 

Section 4 - The SECRETARY shall:  Maintain the club roster; receive and process new membership applications and keep an updated waiting list in sequential order. Record the minutes of Club meetings.  Conduct Club general correspondence except that correspondence for which another club officer or committee has responsibility.

 

Section 5 - The HANDICAP CHAIRMAN shall:  Maintain liaison with the NCGA. Monitor the posting of members scores and cards.  Establish temporary handicaps as necessary.

 

Section 6 - The COMMUNICATION CHAIRMAN shall:  Coordinate the publication of the club's website.  Email communications to all members.   Publish tournament results and information of club interest on the club website.

Section 7 - The TOURNAMENT CHAIRMAN shall:  Prepare the club tournament schedule. Develop tournament rules and distribute prizes.  Do the pairings for the tournaments. Direct the tournaments.  Record/publish tournament results.

 

Section 8 - The immediate PAST PRESIDENT shall:  Be an ex-officio member of the Board with full voting privileges.

  Article VII  -   BY-LAW CHANGES

Revisions, deletions or additions to the By-Laws will be enacted by majority vote of the Board of Directors subject to final approval of the majority of the current membership in attendance on a vote date All tentative changes to the By-Laws will be posted on the Club bulletin board at least four weeks prior to the date of a vote.
